• Brand strategy and consulting

Specific services, deliverables, timelines, and fees will be outlined in a separate Service Agreement or Statement of Work provided upon engagement.

Client Obligations

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the execution of services
• Review and provide timely feedback on deliverables, drafts, and materials
• Ensure that any content, images, or materials you provide do not infringe upon third-party intellectual property rights
• Comply with all applicable laws and regulations related to your practice and marketing activities

Payment Terms

Payment terms are defined within your individual Service Agreement. Unless otherwise specified, the following general terms apply:

• Invoices are issued monthly and are due within 15 days of the invoice date
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• We reserve the right to suspend services if payment is overdue by more than 30 days
• All fees are non-refundable unless explicitly stated otherwise in your Service Agreement

Intellectual Property

Unless otherwise agreed in writing:

• All original work product created by XPONENT Marketing remains our intellectual property until full payment has been received
• Upon full payment, ownership of custom deliverables (e.g., website designs, graphics, copy) transfers to the client
• We retain the right to showcase completed work in our portfolio and marketing materials unless a non-disclosure agreement is in place
• Third-party assets such as stock images, fonts, and software licenses remain subject to their respective licensing terms

Website Use & Conduct

When using our website, you agree not to:

• Use the site for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to any part of the website, server, or connected systems
• Introduce viruses, malware, or any other harmful code
• Reproduce, duplicate, or exploit any portion of the website without express written permission

We reserve the right to restrict or terminate access to the website for any user who violates these terms.

Termination

Either party may terminate the service relationship in accordance with the terms outlined in the applicable Service Agreement. In the absence of specific termination provisions:

• Either party may terminate with 30 days' written notice
• We may terminate immediately if you breach these Terms of Service or your Service Agreement
• Upon termination, any outstanding balances become immediately due and payable
• Deliverables completed and paid for prior to termination will be transferred to the client

Limitation of Liability

To the fullest extent permitted by law, XPONENT Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services, including but not limited to loss of revenue, data, or business opportunities.

Indemnification

You agree to indemnify, defend, and hold harmless XPONENT Marketing, its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your breach of these terms, or your violation of any third-party rights.

Disclaimers

Our website and services are provided on an "as is" and "as available" basis. We make no warranties or representations, express or implied, regarding:
